Eligibility rules

A home-state PC qualifies into New York as a foreign PC. A home-state PC cannot qualify into New York as a PLLC.

A home-state professional LLC, PLLC, or restricted professional LLC may qualify into New York as a foreign PLLC if the original formation documents show a professional or restricted professional purpose.

A general-purpose LLC is usually not enough for NY foreign PLLC qualification, even if the owner is licensed.

Pennsylvania entity vocabulary can vary, including professional LLC, restricted professional company, and professional corporation. New York focuses on whether the Pennsylvania charter supports the professional entity path, not just how the owner describes the company.

What we need from you

We obtain your Pennsylvania standing certificate and certified formation documents. To get started, we typically need:

  • Current Pennsylvania entity legal name.
  • Pennsylvania entity number, if available.
  • Entity type as you understand it (professional LLC, restricted professional company, PC, etc.).
  • Owner, member, manager, shareholder, officer, or director license information.
  • Desired NY-facing assumed name, if needed.
  • NY business address or registered agent details, if you are not using your own. We also offer virtual address and registered agent services if you need them.
What we check before filing
Before filing, we review the Pennsylvania certificate of subsistence or status, certified articles or charter, entity type, professional purpose, owner licensing, and name. Pennsylvania certified-copy cost can vary with page count, so unusually long articles, amendments, or charter records may require a quote adjustment before filing.
DBA / assumed name note

Some foreign entities cannot use their exact home-state legal name in New York. NY may require the name to identify the licensed profession, avoid misleading wording, or otherwise comply with NY professional entity naming rules. When needed, we can file a New York Certificate of Assumed Name so the entity can operate under a compliant NY-facing name.

DBA / Certificate of Assumed Name: $109. This is not included in the foreign qualification price unless specifically quoted.

Pennsylvania foreign qualification FAQs

Can my Pennsylvania professional LLC do business in New York?

Only if it qualifies under New York’s professional entity rules. We review the Pennsylvania articles or charter to confirm whether the entity was formed for a professional or restricted professional purpose.

Can my Pennsylvania PC become a New York PLLC?

No. A Pennsylvania professional corporation stays on the foreign PC path. We do not convert a foreign PC into a NY PLLC through foreign qualification.

Why can Pennsylvania certified-copy page count affect the quote?

Pennsylvania certified-copy costs can vary when the articles, charter, amendments, or underlying record are unusually long. The standard Pennsylvania price is $995 for either path, but we quote any unusual document cost before filing.

What if my Pennsylvania entity is just a regular LLC?

A general-purpose LLC may not qualify as a foreign PLLC in New York. The formation documents usually need to show a professional or restricted professional purpose.

Will I need a DBA or assumed name in New York?

Possibly. If your Pennsylvania legal name does not comply with New York professional naming rules, we can file a Certificate of Assumed Name. The assumed-name service is $109.

Does the price include publication?

We explain the publication requirement and quote any publication-related costs before filing. Publication is not included unless specifically quoted.

How long does New York foreign qualification take?

Timing depends on Pennsylvania document retrieval, NY review, professional approvals, and whether an assumed name is needed. We give practical timing expectations after reviewing the entity record.
